Terms & Conditions
Effective September 26, 2026. These Terms govern your use of ciaix.com (the “Site”), operated by CiAiX Inc. (“CiAiX,” “we,” “us”). By using the Site you agree to these Terms. If you do not agree, do not use the Site.
1. Purpose of the Site
The Site describes CiAiX’s contract administration and due diligence services for oil and gas and real estate firms. It is provided for general information only.
2. No offer; no contract
Nothing on the Site is an offer, solicitation, quotation, guarantee or commitment. No contract or other binding obligation arises from viewing the Site, submitting an inquiry, exchanging email or messages, or any verbal discussion. CiAiX is bound only by a written agreement signed by its authorized representative.
3. Scope of services
CiAiX provides contract administration and due diligence support. CiAiX does not practice law and does not provide legal advice, legal opinions, title opinions or title insurance. Due diligence reports are informational summaries of records and sources reviewed; they are not consumer reports and may not be used to determine any individual’s eligibility for credit, employment, insurance, housing or any other purpose covered by the Fair Credit Reporting Act. You should consult your own attorney, landman, accountant or other licensed professional before acting on any information.
4. No agency, fiduciary or advisory relationship
Use of the Site creates no agency, partnership, joint venture, brokerage, fiduciary or advisory relationship. Any such relationship exists only as expressly stated in a signed written agreement.
5. Engagement at our discretion
CiAiX decides in its sole discretion whether to engage with any prospective client or counterparty and may decline or end discussions for business, compliance, risk or other reasons, without explanation.
6. Compliance screening
Engagements are subject to compliance review, which may include identity verification, sanctions screening and anti-money-laundering checks. CiAiX may decline or suspend any engagement where compliance concerns arise.
7. Confidentiality of materials you share
Non-public documents and information you share with CiAiX are handled confidentially and used only to evaluate or perform an engagement, subject to any separate written confidentiality agreement and to disclosures required by law. Non-public information CiAiX shares with you may not be copied, disclosed or distributed without our written consent.
8. Non-circumvention
Where CiAiX introduces you to or discloses a counterparty, property, opportunity or relationship, you agree not to use that information to bypass CiAiX or deal directly with that party in connection with the disclosed matter, except as permitted by a signed written agreement.
9. Artificial intelligence and automated systems
CiAiX uses artificial intelligence and automated systems, including its COƵMO platform, to organize documents, extract dates and terms, send alerts and prepare drafts and reports. Automated outputs are informational, may be incomplete or preliminary, and do not by themselves create obligations or guarantee accuracy. Deliverables under an engagement are governed by the terms of that engagement.
AI-assisted work is reviewed by CiAiX personnel before it is delivered to a client. CiAiX does not use client documents or data to train public or third-party AI models, and uses AI providers only under terms that restrict such training. Portions of this Site’s content were drafted with AI assistance and reviewed by CiAiX. Where you interact with an AI system on the Site or in our services, such as a chat assistant, we will tell you that you are interacting with AI.
10. No reliance on preliminary information
Information on the Site, and any draft, estimate or preliminary material we provide, may change or be withdrawn without notice. Do not rely on it for commitments to third parties or operational decisions without a signed agreement.
11. Accuracy of Site content
We try to keep the Site accurate but do not warrant that its content is complete, current, error-free or suitable for any purpose.
12. Permitted use
You agree to use the Site lawfully and not to misrepresent your identity or authority, harvest data, introduce malicious code, probe or bypass security measures, or interfere with the Site’s operation.
13. Hosting, security and monitoring
CiAiX and its infrastructure providers monitor, filter and may restrict traffic to protect the Site and its systems. We may block access from any location, network or user at our discretion.
The Site is hosted and protected by Cloudflare, Inc., a third-party infrastructure provider. To deliver and secure the Site, Cloudflare processes technical information about your visit, such as your IP address, browser and device details and the pages you request, and may set strictly necessary security cookies to detect abusive traffic. Cloudflare handles this information under its own privacy policy (cloudflare.com/privacypolicy). CiAiX is not affiliated with or endorsed by Cloudflare; “Cloudflare” is a trademark of Cloudflare, Inc. Site availability depends in part on third-party services outside CiAiX’s control.
14. Electronic communications
By contacting us you agree to receive electronic communications about your inquiry. Electronic communications do not form a binding agreement unless expressly incorporated into a signed written agreement.
15. Privacy and sensitive information
Information you submit is handled under CiAiX’s Privacy Policy. Do not send Social Security numbers, bank or card account numbers, or other highly sensitive or regulated information through web forms or personal email. CiAiX communicates only from secure, corporate-branded @ciaix.com email addresses and will arrange a secure method when sensitive documents are needed. CiAiX will never ask you to send funds or sensitive data from any other address; treat any such request as suspicious and contact us directly.
16. Intellectual property
The Site’s content, including text, design, logos and the CiAiX and COƵMO names, is owned by CiAiX or used with permission and may not be copied, republished or exploited without prior written consent.
17. No publicity
You may not publicly name CiAiX or reference any relationship or transaction with CiAiX without our prior written consent.
18. Third-party links
Links to third-party sites are provided for convenience. CiAiX does not endorse and is not responsible for their content, accuracy or security.
19. Disclaimer of warranties
The Site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, availability and non-infringement.
20. Limitation of liability
To the fullest extent permitted by law, CiAiX is not liable for any indirect, incidental, consequential, special or punitive damages, or lost profits, arising from use of or reliance on the Site. CiAiX’s total liability arising from the Site will not exceed one hundred U.S. dollars (US$100) or the minimum amount permitted by law.
21. Indemnification
You agree to defend and indemnify CiAiX against claims arising from your use of the Site, your violation of these Terms, or any misrepresentation of your identity or authority.
22. International use
CiAiX makes no representation that the Site is appropriate or lawful in every jurisdiction and may restrict access by location.
23. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, and applicable federal law. Any dispute must be brought exclusively in the state or federal courts located in Texas, and you consent to their personal jurisdiction.
24. General
If any provision is held invalid, the rest remain in effect. Our failure to enforce a provision is not a waiver. We reserve all rights not expressly granted and may update these Terms by posting a revised version; continued use of the Site means you accept the update.
